GOL Halts Merger Negotiations with Azul, Shattering Brazil’s Airline Aspirations
GOL Linhas Aéreas Inteligentes SA, a Brazilian low-cost airline, has confirmed that its parent company, Abra Group, has officially terminated merger discussions with its competitor, Azul Linhas Aéreas Brasileiras. This decision brings an end to the proposed merger that aimed to establish Brazil’s largest airline group.
In a formal notice released on September 26, 2025, GOL informed Azul that the merger talks were being called off, pointing to a Confidentiality Agreement signed by both parties on April 12, 2024. The termination of these discussions reflects the evolving circumstances surrounding both airlines.
Initial optimism for a merger arose after a Memorandum of Understanding (MoU) was signed on January 15, 2025. Abra Group had previously indicated its interest in continuing merger negotiations, even as Azul pursued its Chapter 11 restructuring. However, recent months have seen minimal progress, largely due to Azul’s focus on its ongoing proceedings.
Additionally, GOL highlighted that the conditions under which the MoU and preliminary filing with the Administrative Council for Economic Defense (CADE) took place have changed significantly and no longer align with the current realities for both carriers.
Consequently, GOL stated in its notice that, in accordance with the earlier Confidentiality Agreement, Abra Group is formally concluding discussions regarding the proposed merger.
Despite this setback, GOL remains optimistic about the potential benefits of a merger between itself and Azul. The notice concluded with GOL expressing its readiness to engage with relevant stakeholders if circumstances permit.
The proposed merger had the capacity to reshape Brazil’s aviation industry, leading to the formation of the country’s largest airline group, surpassing the existing leader, LATAM Airlines.
