Allegiant Air’s $1.5 Billion Acquisition of Sun Country Airlines
Allegiant Air, a leisure-focused airline headquartered in Las Vegas, Nevada, has made headlines with its recent acquisition of Sun Country Airlines. The deal, valued at $1.5 billion in cash and stock, includes taking on $400 million of Sun Country’s existing debt.
The announcement, made on January 11, 2026, has received the green light from the boards of both airlines. The merger is anticipated to finalize by the end of 2026, pending approval from regulatory authorities.
Allegiant is offering 0.1557 shares of its common stock and $4.10 in cash to Sun Country shareholders. This equates to an implied share value of $18.89, representing nearly a 20% premium on Sun Country’s last closing share price of $15.77 on January 9, 2026.
Shared Business Models
Both Allegiant Air and Sun Country Airlines operate under similar business frameworks, with complementary route networks.
Allegiant, celebrated for its cost-effective operations, specializes in connecting numerous secondary cities across the U.S. to sunny destinations in Florida and the Caribbean. Likewise, Sun Country focuses on vacation spots but also offers an extensive network from its hub at Minneapolis-Saint Paul International Airport (MSP).
Future Operations Post-Merger
Upon completion of the merger, the new entity is expected to function under the Allegiant brand, led by current CEO Gregory C. Anderson. Together, they aim to carry around 22 million passengers annually while managing a mixed fleet of Boeing and Airbus aircraft.
Data from ch-aviation shows that out of Allegiant’s 131 aircraft, all but 16 belong to the Airbus A320 family. In contrast, Sun Country operates 68 Boeing 737 aircraft. The airline also has a robust charter and freight division. Notably, Sun Country collaborates with Amazon, managing 20 converted B737 freighters for Amazon Prime Air. These operations are expected to remain unaffected by the acquisition.
Anticipated Financial Synergies
In their official announcement, Allegiant and Sun Country projected around $140 million in annual synergies as a result of integrating their operations.
