Republic Airways Merges with Mesa Air to Create Leading US Regional Airline
Republic Airways Holdings has announced the successful merger of US carriers Republic Airways and Mesa Air Group, resulting in the formation of the second-largest regional airline in the United States.
This merger, first disclosed on April 7, 2025, gained approval from Mesa stockholders on November 17, 2025. Republic Airways Holdings confirmed the completion of this merger in a statement dated November 25, 2025.
Under the terms of the merger agreement, Republic shareholders now own approximately 88% of the newly formed entity, while Mesa shareholders retain between 6% and 12%, based on the finalization of Mesa’s pre-closing obligations.
David Grizzle, CEO of Republic Airways, stated, “This merger establishes a combined company with a common mission to provide safe, clean, and reliable service to connect people and communities across America. This transaction will create value for all of our stakeholders and strengthen the regional aviation industry.”
As per Republic Airways Holdings, the merger has created a robust organization comprising over 8,000 aviation professionals.
Both Republic and Mesa will continue to operate independently while the merged organization focuses on integrating the two airlines into a single carrier.
As the combined entity, Republic Airways Holdings will boast the largest fleet of Embraer jets worldwide, consisting of 310 E-Jets.
This fleet is set to support over 1,300 daily flights to more than 100 destinations across the US, Canada, the Caribbean, and Mexico.
Republic Airways will continue to serve American Airlines, Delta Air Lines, and United Airlines in accordance with existing capacity purchase agreements.
Meanwhile, Mesa Airlines will collaborate with United Airlines through a newly established 10-year capacity purchase agreement, integral to this merger.
